a) Implementation order:

(Article 10 of the Law on Enterprise 2014, Article 5 of the Decree No.96/2015/NĐ-CP).

- Step 1: Within 05 days counting from the date of the decision on termination, the enterprise prepares the Notice of termination of social and environmental commitments and submitted to the Public Administration Service Center, Business Registration Office, Department of Planning and Investment, address: No.727 National Highway 14, Tan Phu Ward, Dong Xoai City.

- Step 2: Dossier acceptance, checking:

The dossier-receiving and result-delivering section of the provincial Public Administration Service Center shall check the dossier; complete dossiers shall be issued the Certificate of declaration of information on the Notice of termination of social and environmental commitments the National Business Registration Portal.

- Step 3: Examination, handling dossier

Within 03 (three) working days counting from the date of receing dossier:

+ For qualified dossier: Business Registration Office, Department of Planning and Investment shall update information on the Notice of termination of social and environmental commitments into the business record and declare on the National Business Registration Portal for the enterprise.

+ For refused dossier: Business Registration Office, Department of Planning and Investment shall announce in writing which specify reasons and requests of amendment, supplementation of the business record.

b) Method of execution:

+ Direct in the Public Administration Service Center of Binh Phuoc Province.

+ Sending via post office to the Public Administration Service Center of Binh Phuoc Province.

c) Components, quantity of dossier:

- Components of dossier:

+  Notice of termination of social and environmental commitments (form) and enclosed documents inluding the legitimate copy of the meeting minutes of the Members’ Council for the limited liability company of two or more members, the owner of the company or the Members’ Council of the President of the one-memebr limited liability company, general meeting of shareholders for joint stock company, general partners for partnership at the time of approval of contents in the Notice of termination of social and environmental commitments.

+ Decision of the enterprise on approval of contents in the Notice of termination of social and environmental commitments or decision made by the State management agency (if any), in which specify the reasons of termination.

+ Legitimate copy of the agreement with relevant individuals, organizations on handling the balance of assets or finance for aid/sponsorship which the social enterprise has received (if any).

- Quantity of dossier: 01 dossier.

d) Settlement time limit: Within 03 (three) working days counting from the date of receiving the notice.

đ) Objects implementing administrative procedures: Enterprises.

e) Organizations implementing administrative procedures:

- Competent authority: Business Registration Office - Department of Planning and Investment.

- Organization directly implements: Business Registration Office - Department of Planning and Investment.

g) Results of implementing administrative procedures: Information on the Notice of termination of social and environmental commitments shall be updated into the business record and declared on the National Business Registration Portal or notice on refusal which specify reasons and requests of amendment, supplementation of the business record.

h) Name of form, declaration form: Notice of termination of social and environmental commitments (Form 03- Circular No.04/2016/TT-BKHĐT).

i) Fees: No.

k) Requirement, conditions implementing administrative procedures:

Stipulated under the Article 6 Deecree No. 96/2015/NĐ-CP dated 19th October 2015 by the Government providing details of some articles of the Law on Enterrises. The social enterprise terminates the Statement of commitments to fulfill social and environmental objectives in following cases:

+ The Statement of commitments to fulfill social and environmental objectives expires.

+ The social, envionmental issued in the Statement of commitments to fulfill social and environmental objectives has changed or no longer existed.

+ Failure or fully fail to implement the Statement of commitments to fulfill social and environmental objectives and the rate of retained earing for re-investment.

+ Other cases according to decision made by the enterprise of the competent State agency.

In case of termination of the Statement of commitments to fulfill social and environmental objectives, all the unused property or aid/sponsorship shall be returned to the sponsor or shall be transferred to other social enterprises or organizations that have similar social and environmental objectives. The social enterprise is allowed to terminate the Statement of commitments to fulfill social and environmental objectives only if guarantee of full payment of debts and other asset obligations after handling the the unused aid/sponsorship which the enterprise has received.

- Circular No.04/2016/TT-BKHĐT dated 17th May 2016 by the Ministry of Planning and Investment providing details about the written form used in social enterprise registration
